Monthly M&A Roundup: September 2026 Brand Ownership Changes

Monthly M&A Roundup: September 2026 Brand Ownership Changes

September's biggest deal was a signature, not a surprise. On September 2, Nvidia filed an 8-K disclosing a definitive agreement to acquire Hugging Face, confirming the reported agreement we covered in August. The filing puts real numbers on the deal: approximately $11.9 billion for stockholders plus up to $1 billion in retention equity for employees, $12.93 billion in total. CEO Jensen Huang announced it on the Nvidia blog the next day.

The rest of the month was dominated by AI and aerospace. GE Aerospace agreed to buy its own castings supplier, Consolidated Precision Products, for $11.75 billion on September 8. AMD agreed to acquire Fei-Fei Li's World Labs for $8.2 billion on September 28. Cohere and Aleph Alpha signed their roughly $20 billion merger on September 16. On the consumer side, LVMH completed the sale of Marc Jacobs to a WHP Global and G-III joint venture, Nestlé sold its vitamins platform for $1 billion, and Hormel bought chicken producer Brakebush for $1.06 billion on the last day of the month.

Nvidia Signs $12.93 Billion Hugging Face Acquisition

Signed: September 2, 2026 (8-K filed; announced September 3) Buyer: Nvidia Corporation (Nasdaq: NVDA) Target: Hugging Face (private) Deal value: ~$11.9 billion purchase price + up to ~$1.0 billion employee retention equity Status: Signed; HSR review triggered; expected close H1 2027

The reported deal is now a signed deal. Nvidia's 8-K filing discloses an approximately $11.9 billion purchase price payable to Hugging Face stockholders, plus an equity-based retention program of up to roughly $1 billion for Hugging Face employees who join Nvidia. Jensen Huang's announcement priced the combination at $12,930,300,000 exactly.

What Nvidia is buying: Hugging Face is the central platform for open-source AI. Per Nvidia's own announcement, 18 million developers use it to share more than 3 million models, 500,000 datasets, and 1 million applications. More than 200,000 companies build on it. Nvidia has committed to keeping the platform open, including support for other silicon vendors, and the filing flags a real risk: government restrictions on open-source models, particularly those originating in China, could materially impact the platform.

Why it matters for ownership watchers: Unlike Nvidia's December 2025 Groq deal, a roughly $20 billion licensing-and-talent arrangement structured to avoid buying the company, this is a full acquisition of the legal entity. That triggers Hart-Scott-Rodino review in the U.S. and merger review in the EU. Regulators in both jurisdictions now get a formal window to examine whether the company that sells the chips should also own the marketplace where the models live. GE Aerospace Buys Its Own Supplier: CPP for $11.75 Billion

Announced: September 8, 2026 Buyer: GE Aerospace (NYSE: GE) Seller: Warburg Pincus and Berkshire Partners Status: Signed; expected close H2 2027

GE Aerospace agreed to acquire Consolidated Precision Products, one of its own engine castings suppliers, for $11.75 billion. The company will fund the deal with $7 billion in cash plus new debt. CPP's investment casting has been a bottleneck for engine output across the industry, and GE Aerospace is paying $11.75 billion to take direct ownership of the constraint.

AMD Acquires World Labs for $8.2 Billion

Announced: September 28, 2026 Buyer: AMD (Nasdaq: AMD) Target: World Labs (private) Status: Announced; expected close before year-end

AMD agreed to acquire World Labs, the spatial intelligence startup founded by Fei-Fei Li, for $8.2 billion. Li joins AMD as executive vice president and chief scientist. The two companies formed an inference optimization and training partnership in 2025, and Li appeared at AMD's CES presentation earlier this year.

The timing is hard to miss. Nvidia signed Hugging Face on September 2. AMD answered on September 28. Both deals buy the layer of AI closest to developers, Nvidia the model-sharing platform, AMD the lab building models that understand physical space. Cohere and Aleph Alpha Sign ~$20 Billion Merger

Signed: September 16, 2026 Parties: Cohere (Toronto) and Aleph Alpha (Heidelberg) Combined valuation: Approximately $20 billion at April disclosure Status: Signed; regulatory approvals pending

Canada's Cohere and Germany's Aleph Alpha signed a definitive merger agreement on September 16. The combined business operates as Cohere with dual headquarters in Toronto and Berlin; Aleph Alpha's Heidelberg office becomes the research hub. Aleph Alpha co-CEO Ilhan Scheer becomes Cohere's chief operating officer.

Lidl owner Schwarz Group is investing EUR 500 million in the combined company and committing up to EUR 13 billion in compute through its StackIT cloud unit. The combination was first disclosed in April at a valuation around $20 billion; updated terms were not disclosed. This creates the largest non-U.S., non-China enterprise AI company by a wide margin.


The Baldwin Group Goes Private in $7.7 Billion Deal

Announced: September 14, 2026 Buyers: Sequence Holdings and DFO Management (Michael Dell's family office) Target: The Baldwin Group Deal value: $7.7 billion enterprise value, $32.50 per share in cash

Insurance broker The Baldwin Group agreed to be taken private by Sequence Holdings and DFO Management in a $7.7 billion enterprise-value transaction. The all-cash offer of $32.50 per share is the second major insurance brokerage deal in as many months, following Aon's $17 billion agreement for USI at the end of August. Insurance distribution consolidation continues to be one of the most reliable sources of large-cap deal flow.


Royal Caribbean Buys 50% of Sandals for $3 Billion

Announced: Week of September 21, 2026 Buyer: Royal Caribbean Group (NYSE: RCL) Target: 50% stake in Sandals Resorts International Deal value: $3 billion; values Sandals at $6 billion Status: Announced; expected close early 2027

Royal Caribbean agreed to pay $3 billion for a 50% stake in Sandals Resorts International, the largest transaction in the cruise company's history. The stake sits in a new joint venture controlling Sandals' portfolio of 20 Caribbean resorts. The founding Stewart family retains the other 50%.

Why it matters for brand ownership: The Sandals brand now answers to a joint venture half-owned by a public cruise company. Royal Caribbean's previous brand-level acquisition was its $1 billion Silversea stake in 2018, which it later took to full ownership. A 50% stake with joint control is often how these arrangements start. The deal takes a cruise line into land-based resorts and gives Sandals access to Royal Caribbean's booking engine and loyalty base.


Cegid and Silae Merge in ~$11.6 Billion French Software Deal

Announced: Week of September 14, 2026 Parties: Cegid and Silae Deal value: Approximately EUR 10 billion (~$11.6 billion)

French business software companies Cegid and Silae agreed to merge in a transaction valued at roughly EUR 10 billion. The combination creates one of Europe's largest software groups, focused on accounting, payroll, and HR tools for small and mid-sized businesses.


Consumer Brand Deals: Nestle Vitamins, Marc Jacobs, Hormel

September produced a cluster of deals that move real household brands between owners.

Yellow Wood Partners acquires Nestle's Holistic Health platform -- $1.0 billion (September 1). Boston-based consumer private equity firm Yellow Wood agreed to buy Nestle's vitamins, minerals, and supplements platform for $1 billion. The portfolio includes Nature's Bounty, the number-two VMS brand in the U.S., plus Nuun, Osteo Bi-Flex, and Gard. Nature's Bounty products reach more than 20% of U.S. households and the brand is over 50 years old. This is Yellow Wood's sixth carveout from a major consumer company, following deals with Bayer, Reckitt, Unilever, and Haleon. The firm already owns ChapStick, Suave, Q-tips, Caress, Pond's, and Dr. Scholl's. For Nestle, the sale continues the portfolio pruning that has defined its last several years. Expected close: first half of 2027.

WHP Global and G-III complete Marc Jacobs acquisition from LVMH (September 1). LVMH completed the sale of the Marc Jacobs brand to a 50/50 joint venture between WHP Global and G-III Apparel Group (Nasdaq: GIII). WHP leads the JV and global licensing; G-III owns the operating business -- wholesale, retail, and e-commerce -- under a long-term license from the JV. Marc Jacobs remains Founder and Creative Director. G-III's owned-brand portfolio now includes Marc Jacobs, DKNY, Donna Karan, Karl Lagerfeld, Sonia Rykiel, and Vilebrequin. The deal structure is worth noting: the fashion IP and the operating business now have different owners, coordinated through a license. Henkel completes [Olaplex](/brands/olaplex) acquisition (September). Henkel closed its $1.4 billion acquisition of Olaplex and installed Henkel executive Christoph Kaul as CEO, succeeding Amanda Baldwin. The deal was announced March 26 at a roughly 90% discount to Olaplex's 2021 IPO valuation. The bond-building hair care brand now sits inside Henkel's consumer unit alongside Schwarzkopf and Not Your Mother's, acquired in March.

[Hormel Foods](/companies/hormel-foods) buys Brakebush Brothers -- $1.06 billion (September 30). Hormel Foods, the company behind Skippy peanut butter and Spam, agreed to buy family-owned chicken processor Brakebush Brothers in a deal valued at $1.06 billion. Reuters framed it as a push into value-added chicken as protein demand grows. Brakebush supplies breaded and prepared chicken to foodservice and retail customers.


More Consumer and Beauty Deals

Belle Brands acquires Vegamour (September 9). Windsong Global's beauty platform Belle Brands acquired Vegamour, the biotech hair wellness brand sold at Sephora. Vegamour joins a portfolio that includes JVN Hair, Pipette, KVD Beauty, and Versed under Global President Teresa Lo. Terms were not disclosed.

Wipro Consumer Care takes 60% of Dermatouch (September 23). Wipro acquired a 60% stake in Indian premium skincare brand Dermatouch at an enterprise value of Rs 387.5 crore, with the remaining 40% to be bought over three years. Dermatouch posted Rs 131 crore (~$13.6 million) in FY26 revenue, up 114% year over year. It is Wipro's 18th acquisition globally and third of 2026, after Good Home and Eva from TTK Healthcare and S brands in the Philippines.

Clicks raises ARC stake to 61% (September 28). South African retailer Clicks Group bought a further 35.3% of premium beauty retailer ARC for R507 million (~$31 million), taking control at 61%. ARC runs 12 stores including Africa's largest beauty store at Sandton City and plans to grow to 20 to 30 locations.

MVC Group acquires Tailfin (September 24). The Italian technical apparel group behind Castelli, Sportful, Karpos, and Zoot acquired Tailfin, the UK premium bikepacking brand. It is MVC's fourth transaction in under a year. The Equinox-backed group reported more than EUR 110 million in 2025 revenue across 75 countries.

Vyrao acquired by Tresalis (announced September 28 to 30). The British wellness fragrance brand founded by Yasmin Sewell was acquired by Tresalis, a new brand platform backed by Athos, the Strüngmann brothers' family office. Revenue is reported around $3 million approaching $5 million. Sewell stays as Founder and Chief Brand Officer; Estée Lauder Companies, Manzanita Capital, and L Catterton retain minority stakes.

ROJA London acquired by Extravaganza Beauty. The Middle East-based buyer fully acquired the British haute perfumery house. Audrey Minard remains Global CEO while founder Roja Dove moves to a consultancy role.

Faace sold (September 15). Founder Jasmine Wicks-Stephens confirmed the skincare brand's sale in a Substack post after a lengthy search for a buyer. Terms and buyer were not disclosed in the announcement.

Randa acquires [UNTUCKit](/brands/untuckit) (September 1). Randa Apparel & Accessories completed its acquisition of UNTUCKit, the New York menswear brand with 70-plus stores, announced September 1. We flagged this in the August roundup as it closed just after that month's cutoff.


Other Notable September 2026 Deals

AAR Corp takes control of MRO Holdings -- $4.0 billion implied EV (September 28). AAR (NYSE: AIR) agreed to acquire a 65% controlling interest in aviation maintenance group MRO Holdings at an implied enterprise value of $4.0 billion, 10.7x forecast 2026 adjusted EBITDA including $75 million of run-rate synergies. AAR will pay roughly $1.8 billion in equity value and repay about $1.3 billion of MRO borrowings, funded through $2.1 billion of new debt, $780 million of equity issued to existing MRO shareholders at $135 per share, and a $230 million PIPE led by The Pritzker Organization. Expected close: AAR's fiscal Q3 ending February 2027.

Grab acquires 60% of Atome Financial -- $1.49 billion (week of September 14). Grab, Southeast Asia's super-app, agreed to buy a controlling 60% of Atome Financial, Advance Intelligence Group's digital financial services platform, for $1.49 billion in cash. The deal covers operations in Singapore, Malaysia, the Philippines, Indonesia, and Thailand.

Telix Pharmaceuticals merges with ITM -- $1.65 billion (week of September 21). Radiopharmaceutical company Telix agreed to merge with Germany's ITM Isotope Technologies Munich SE in a $1.65 billion combination.

Priority Technology Holdings taken private -- ~$1.6 billion. The payments and banking solutions provider agreed to a go-private deal led by Chairman and CEO Thomas Priore at approximately $1.6 billion.

Rexel acquires GCG -- $1.4 billion. French electrical distributor Rexel agreed to buy US specialty wire and cable distributor GCG from Audax Private Equity at an enterprise value of approximately $1.4 billion. GCG operates 16 locations and expects more than $1.1 billion of 2026 revenue.

Analog Devices acquires Alif Semiconductor -- $1.35 billion (September 9). ADI agreed to an all-cash purchase of edge-AI chipmaker Alif for $1.35 billion upfront plus up to $200 million in contingent consideration. Close is expected before the end of 2026, subject to HSR.

Clearlake Capital consolidates Chelsea FC control -- reported ~$1.3 billion. Clearlake moved to consolidate its control of Chelsea Football Club in a transaction reported at roughly $1.3 billion, per Intellizence tracking. Clearlake co-led the 2022 consortium that bought the club.

Cognex acquires RealSense -- ~$500 million (September 22). Machine vision company Cognex agreed to buy RealSense, the depth-sensing camera maker spun out of Intel in 2025, for approximately $500 million in cash plus a $56.5 million three-year retention program and roughly $50 million in RSUs. RealSense targets the robotic perception market, estimated at $600 million today and growing 25% annually. Expected close: Q4 2026.

Valley National acquires Bluevine -- ~$340 million (September 28). Regional bank Valley National Bancorp (Nasdaq: VLY) agreed to buy small-business digital banking platform Bluevine for approximately $340 million, 75% cash and 25% stock. Bluevine brings $2.1 billion of low-cost digital deposits and is expected to be 8% accretive to 2028 EPS.

Select Water Solutions acquires Pilot Water Solutions -- $700 million. The water infrastructure company agreed to buy Delaware Basin-focused Pilot Water Solutions for $700 million.

May Mobility de-SPAC -- $1.4 billion implied EV. Autonomous vehicle company May Mobility agreed to go public via ACP Holdings Acquisition Corp at a $1.4 billion implied pro forma enterprise value with up to $337 million of expected gross proceeds. Details in our IPO roundup.

Ongoing Deals from Prior Months

Kimberly-Clark / [Kenvue](/companies/kenvue) ($48.7B): Big moves in September. Kimberly-Clark launched a $7 billion exchange offer for outstanding Kenvue notes on September 28, a financing step toward close. Shareholders of both companies have approved the deal and the U.S. antitrust waiting period has expired. In Australia, the competition regulator cleared the deal on condition that Kimberly-Clark divest Kenvue's Carefree and Stayfree menstrual care brands there. In Europe, Kimberly-Clark submitted remedies to the European Commission, which extended its preliminary review deadline from September 29 to October 13. Close is still expected in Q4 2026. McCormick / Unilever Foods ($44.8B): The UK Competition and Markets Authority opened a Phase 1 investigation on September 16, with a decision deadline of November 11. Unilever put Colman's mustard up for sale through Rothschild to pre-empt competition concerns, since McCormick owns French's. The deal would give Unilever shareholders 65% of the combined company's equity and Unilever itself $15.7 billion in cash. Lipton, which Unilever co-owns with PepsiCo, and operations in India, Nepal, and Portugal are excluded. Brands moving if it closes: Hellmann's, Knorr, Marmite, and others.

Aon / USI ($17B): Announced August 31. Regulatory review pending as of September 30.
