Monthly M&A Roundup: October 2026 Brand Ownership Changes
October 2026's biggest deals: Paramount Skydance closed its $110B Warner Bros. Discovery takeover, Salesforce signed Braze for $5.66B, Proofpoint bought Varonis for $6.3B, the Weston family agreed to buy Boots for $8.9B, and Viatris added Pacira for $1.65B. Full breakdown.

October's headline was a close, not an announcement. On October 6, Paramount Skydance completed its approximately $110 billion acquisition of Warner Bros. Discovery, ending a year-long battle that started with a Netflix agreement, survived a dozen state lawsuits, and produced the largest media combination since Disney-Fox. The merged company is now called Skydance and trades on the NYSE under the ticker SKYD.
The rest of the month split neatly between enterprise software and consumer health. Salesforce signed a $5.66 billion agreement for customer engagement platform Braze on October 20. Thoma Bravo-owned Proofpoint agreed to buy data security company Varonis for $6.3 billion on October 15. And Canada's Weston family, through holding company Wittington Investments, reached an $8.9 billion agreement on October 7 to take Boots private from Sycamore Partners.

Paramount Skydance Completes the $110 Billion Warner Bros. Discovery Takeover
Closed: October 6, 2026 Buyer: Paramount Skydance Corporation (now Skydance Corporation, NYSE: SKYD) Target: Warner Bros. Discovery, Inc. (formerly Nasdaq: WBD) Deal value: Approximately $110 billion; $31.00 per share in cash plus ticking consideration
The largest media transaction of the year is done. Paramount Skydance closed its acquisition of Warner Bros. Discovery on October 6 after Supreme Court Justice Elena Kagan rejected a final attempt to block the deal. The combined company was renamed Skydance Corporation and began trading on the New York Stock Exchange under SKYD on October 6, replacing the interim PSKY Nasdaq listing. WBD shareholders received $31.00 per share in cash plus accrued ticking consideration, and WBD was delisted, continuing as a wholly owned subsidiary.
How it got here: WBD agreed in December 2025 to sell its studio and streaming assets to Netflix. Paramount Skydance countered with a bid for the entire company, paying the $2.8 billion termination fee owed to Netflix. Twelve state attorneys general and the Writers Guild of America sued to block the merger in July; Paramount settled the attorneys general claims in September, and Kagan's rejection cleared the final hurdle in October.
What the new company owns: Warner Bros., HBO, HBO Max, CNN, DC Comics, TNT, TBS, Discovery Channel, HGTV, Food Network, TLC, Cartoon Network, Adult Swim, Eurosport, and Discovery+ now sit alongside Paramount Pictures, CBS, MTV, Nickelodeon, Comedy Central, BET, Paramount+, and Pluto TV. Notably, CNN was not divested despite months of reporting that a sale would be a regulatory condition. Co-CEOs David Ellison and Ynon Kreiz lead the combined company, with Bari Weiss running CBS News and Mark Thompson staying at CNN. The combined company carries roughly $79 billion in net debt and has committed to at least 30 theatrical film releases per year.
Why it matters for brand ownership: For the first time, two of the three major broadcast networks' parent companies (CBS and, through the CW stake, a share of a third) and two major streamers (Paramount+ and HBO Max) answer to the same owner. Skydance has outlined plans to combine the streaming services into a single platform. See the Skydance company profile for the full portfolio.
Salesforce Signs $5.66 Billion Braze Acquisition
Signed: October 20, 2026 (agreement dated October 19) Buyer: Salesforce, Inc. (NYSE: CRM) Target: Braze, Inc. (Nasdaq: BRZE) Deal value: ~$5.66 billion enterprise value; $47.50 per share in cash Status: Signed; expected close in Salesforce fiscal 2028
Salesforce agreed to acquire Braze, the customer engagement platform used by Canva, Instacart, and Venmo, at a roughly 58% premium to Braze's prior close of $30.04. The deal adds a real-time B2C engagement layer that Salesforce's Marketing Cloud has lacked, and it continues a buying pattern that already includes the $8 billion Informatica deal last year and the $3.6 billion Fin agreement announced in June.
The termination math favors a clean deal: Salesforce owes $300 million if it walks away, while Braze owes $191.4 million. Braze shares jumped more than 50% on the announcement. See the Braze company profile for details on its customer base and the acquisition terms.
Proofpoint Buys Varonis for $6.3 Billion in All-Cash AI Security Bet
Announced: October 15, 2026 Buyer: Proofpoint, Inc. (private; owned by Thoma Bravo) Target: Varonis Systems, Inc. (Nasdaq: VRNS) Deal value: ~$6.3 billion; $49.75 per share in cash
Private equity-backed Proofpoint agreed to acquire Varonis at $49.75 per share, a 52% premium to Varonis' closing price of $32.71 on June 22, the last full trading day before sale rumors began, and 8.4x trailing-twelve-month revenue. The combination creates one of the largest pure-play cybersecurity companies, serving more than 16,000 enterprises, and pairs Proofpoint's email and human-risk business with Varonis' data security and access controls.
The deal is part of a clear October pattern: AI-era security and data infrastructure is where enterprise buyers are spending. For how private equity ownership differs from public ownership, see understanding parent company vs subsidiary.
Weston Family Agrees to Buy Boots for $8.9 Billion
Announced: October 7, 2026 Buyer: Wittington Investments (Weston family holding company) with Fairfax Financial Seller: Sycamore Partners and the Pessina family Deal value: ~$8.9 billion including assumed debt Status: Signed; expected close Q1 2027
Boots is changing hands again, less than 15 months after Sycamore Partners took it private in the $24 billion Walgreens buyout. Wittington Investments, the holding company of Canada's Weston family (owners of Loblaw and Shoppers Drug Mart), signed a definitive agreement for Boots' UK and Ireland retail operations, Boots Opticians, No7 Beauty Company, and the Thailand and franchised businesses. Fairfax Financial is putting up roughly $2.3 billion for a 50% equity stake, with Wittington holding operational control and Galen Weston becoming chairman on closing.
Sycamore and the Pessina family keep The Boots Group's other interests, Farmacias Benavides and Alliance Healthcare Deutschland. Boots generated GBP 7.5 billion in revenue in the fiscal year ended August 2025, up 3.2%, with operating profit up nearly 30%. See the Boots brand profile for the full ownership history from Jesse Boot to Walgreens to now the Westons.
Viatris Agrees to Acquire Pacira BioSciences for $1.65 Billion
Announced: October 8, 2026 Buyer: Viatris Inc. (Nasdaq: VTRS) Target: Pacira BioSciences, Inc. (Nasdaq: PCRX) Deal value: ~$1.65 billion equity value; $36.50 per share in cash Status: Signed; tender offer commenced October 30; expected close by end of 2026
Viatris agreed to pay $36.50 per share for Pacira, a 45% premium, adding two marketed non-opioid pain therapies: EXPAREL and ZILRETTA. Pacira generated approximately $746 million in revenue and $177 million in adjusted EBITDA over the twelve months ended June 30, 2026. Viatris commenced its tender offer on October 30 and expects the deal to close by year-end and to be immediately accretive.
Penske Automotive Goes Private at $212 Per Share
Announced: October 15, 2026 Buyers: Penske Corporation and Mitsui & Co. Target: Penske Automotive Group (NYSE: PAG) Deal value: $212.00 per share in cash
Penske Automotive, the international car and truck dealership group, agreed to be taken private by its chairman's Penske Corporation in partnership with trading house Mitsui & Co. Shareholders will receive $212.00 per share in cash. Penske Corporation already controlled a majority of the voting power; the buyout consolidates full ownership and ends the company's run as a publicly traded dealer group. October is turning into a strong month for take-privates, following September's Baldwin Group and Priority Technology deals.
Spin-Offs: Corteva Completes Vylor, Abbott Plans Nutrition Separation
[Corteva](/companies/corteva) completed the separation of its seed business into [Vylor](/companies/vylor) Inc. The agriscience company finished the split it announced earlier this year, creating two independent companies: a crop protection and traits business remaining under Corteva, and the seed business (including Pioneer) under Vylor. October completions put this among the larger executed agricultural separations of the year. See our spinoff watch for the full 2026 picture.
[Abbott Laboratories](/companies/abbott-laboratories) announced plans to spin off its nutrition business. The roughly $8.5 billion unit, home to Similac, Ensure, Pedialyte, and Pediasure, would become an independent publicly traded company by the end of 2027. Abbott disclosed the plan alongside a cut to its 2026 sales growth outlook. If completed, it would be the biggest consumer-health separation since Johnson & Johnson spun off Kenvue, which, in a neat closing of the circle, was itself acquired by Kimberly-Clark this month (see ongoing deals).
Comcast continued preparations for the NBCUniversal spin-off, confirming major layoffs and a restructuring charge exceeding $1 billion in the fourth quarter.
National Fuel Gas announced plans to separate its integrated upstream and gathering business, and International Paper said it received offers for its EMEA packaging business.
Cybersecurity and Tech Deals Beyond Braze and Varonis
IonQ acquires Elisity -- ~$1.3 billion. Quantum computing company IonQ agreed to buy cybersecurity firm Elisity, adding identity-based microsegmentation to its platform as it builds toward quantum-safe networking.
Tradeweb agrees to acquire Trumid. Electronic trading operator Tradeweb announced an agreement to buy corporate bond trading platform Trumid, consolidating two of the largest electronic venues for credit markets.
Proofpoint-Varonis and Salesforce-Braze are covered above. Together the four transactions make October one of the heaviest enterprise-software months of the year.
Media, Crypto, and Everything Else
Polygon completes Coinme acquisition. The blockchain platform completed its acquisition of Coinme, the Seattle-based crypto cash exchange, adding a regulated US on-ramp to its infrastructure.
B&G Foods sells B&M and Joan of Arc. The packaged foods company divested the two shelf-stable brands to McCall Farms as it continues trimming its portfolio. Terms were not disclosed.
Character.AI sells assets to Disney after Chapter 11. Character.AI filed for Chapter 11 on October 13 and agreed to sell certain assets to Walt Disney for $20 million. A striking end for a company once valued in the billions, and a cheap character-IP and technology pickup for Disney.
Anthropic files publicly for IPO. Not an M&A event, but worth flagging here: Anthropic filed its public IPO paperwork on October 26, setting up a possible mid-November listing. Details in our IPO roundup.
Restaurant and retail distress: Stuckey's filed for Chapter 11 while continuing to operate, and True Food Kitchen filed for Chapter 11 and closed locations. The Children's Place faced restructuring pressure throughout the month. Helen of Troy, owner of Hydro Flask, rejected an opportunistic takeover proposal.
Other Notable October 2026 Deals
Kenvue EU clearance lands October 13 (deal closed November 2). The European Commission conditionally approved Kimberly-Clark's $48.7 billion acquisition of Kenvue after K-C agreed to sell its own EEA tampon and feminine hygiene brands (Kotex, Camelia, Record) to Turkish buyer Dilek. Kimberly-Clark sold $4.9 billion of bonds to fund the cash component. The deal closed November 2, just after our cutoff: KVUE was delisted, Kenvue shareholders received $3.50 in cash plus 0.14625 K-C shares, and the company now operates as Kenvue LLC.
Kraft Heinz sells majority of North America coffee (November 4, just after cutoff). Kraft Heinz agreed to divest its North America coffee business to One Rock Capital Partners at a $650 million enterprise value, retaining a 30% stake. The sale covers Maxwell House, Gevalia, Nabob, Yuban, Tassimo, Ethical Bean, and Sanka. Expected close: mid-2027.
