History of Massachusetts Mutual Life Insurance Company (MassMutual)
MassMutual was chartered in 1851 by Caleb Rice, a lawyer and former state legislator who became the company's first president. Rice recruited investors to subscribe $100,000 in guarantee capital to launch the enterprise. The mutual structure meant the company answered to policyholders, not stockholders, from the beginning.
The company expanded westward through the nineteenth century and became a pioneer in covering policyholders who traveled or lived on the frontier. MassMutual was also an early adopter of actuarial science. In the 1870s it hired actuary Newton Bowles, and it began paying policyowner dividends in 1869, a practice that has continued every year since.
Through the twentieth century, MassMutual grew into a full-service financial protection company. It introduced disability income insurance in 1968, expanded into retirement services in the 1980s and 1990s, and built an affiliated broker-dealer network. The company acquired OppenheimerFunds in 1990, an asset manager it held until selling it to Invesco in 2019.
Roger Crandall became president and CEO in 2010 after joining the company in 1988. Under Crandall, MassMutual doubled its total adjusted capital, grew life insurance protection in force past $1 trillion, and expanded its strategic business portfolio. In 2016, the company consolidated Babson Capital Management, Wood Creek Capital Management, Cornerstone Real Estate Advisers, and Baring Asset Management under a single global brand called Barings.
In 2019, MassMutual agreed to sell its OppenheimerFunds unit to Invesco and took a significant equity stake in Invesco in return. The company also developed in-house ventures, including Haven Life, a direct-to-consumer digital life insurance agency launched in 2015, and Haven Technologies, an insurtech software business created in 2021.
In May 2021, MassMutual acquired Great American Life Insurance Company from American Financial Group for approximately $3.5 billion and renamed it MassMutual Ascend in 2022, deepening its position in the annuity market. In 2024, the company wound down Haven Life, which stopped accepting new applications in January 2024 and issued its final policies in March 2024. Haven Technologies was folded into the parent company at the end of 2024.
In 2026, MassMutual marked its 175th anniversary. In June 2026, the company agreed to reinsure approximately $16 billion of fixed universal life policies with Nationwide, and MS&AD Insurance Group completed its $1.44 billion minority investment in Barings in May 2026.
Massachusetts Mutual Life Insurance Company (MassMutual) Sustainability & Ethics

Awards & Recognition
MassMutual has appeared on Fortune's World's Most Admired Companies list and holds among the highest financial strength ratings in the insurance industry: A++ from AM Best, AA+ from Fitch, AA+ from S&P Global, and Aa3 from Moody's. The company's 175th anniversary in 2026 coincided with record operating results and a record policyowner dividend.
Controversy, Regulation & Public Scrutiny
MassMutual operates under state insurance regulation, with the Massachusetts Division of Insurance as its primary domestic regulator. Like other large annuity and life insurers, the company has faced periodic market conduct examinations and litigation related to policy illustrations and sales practices. In 2026 the company agreed to reinsure $16 billion of fixed universal life policies to Nationwide, a capital management transaction typical for the industry. The wind-down of Haven Life and Haven Technologies in 2024 drew coverage as a sign of the challenges insurers face in direct-to-consumer digital channels.
