History of Misto Holdings Corp.

The corporate history and the brand history begin in different countries. Fila traces its brand origin to the Fila family's textile business in Biella, Italy in 1911. Misto Holdings' annual report states that the present South Korean corporation was established on July 23, 1991 as Fila Korea and registered as a foreign-invested company that August. Treating 1911 as the legal company's incorporation date would merge two separate histories.

Fila Korea began as the Korean operation of the international Fila business. Gene Yoon, also known as Yoon Yoon-soo, led the local company and built its position in Korea. In 2005, management completed a buyout that made the Korean operation independent from Fila Global. Two years later, Fila Korea used a leveraged transaction to acquire Fila's global trademarks and business rights. A former regional licensee had become the worldwide brand owner.

The brand gained international recognition in 1973 when it entered sportswear and signed an endorsement deal with tennis player Bjorn Borg. Fila's distinctive designs and bold color schemes became popular throughout the 1970s and 1980s, establishing the brand as a major player in athletic apparel and footwear. Throughout the 1980s and 1990s, Fila expanded globally and became associated with hip-hop culture and urban fashion, particularly in the United States.

In 2007, the global Fila brand rights were acquired by Fila Korea, a South Korean company that had previously operated as a Fila licensee in Korea. The acquisition marked the transfer of Fila from Italian to Korean ownership. Fila Holdings Corp. became publicly traded on the Korea Exchange in 2010 under ticker 081660.

In 2011, Fila Holdings acquired Acushnet Holdings Corp., the US-based parent company of Titleist, FootJoy, Scotty Cameron, Vokey, and Pinnacle golf brands, for approximately $1.23 billion. This acquisition transformed Fila Holdings into a multi-brand portfolio company with significant revenue from the golf equipment market. Acushnet was subsequently listed on the New York Stock Exchange in 2016 under ticker GOLF, with Fila Holdings (now Misto Holdings) retaining majority ownership.

Under Korean ownership, the Fila brand experienced a significant revival in the late 2010s, driven by the retro fashion trend and strategic repositioning. Fila's collaborations with celebrities and its renewed focus on heritage designs drove growth, particularly in the United States and Asia. However, the Fila brand has faced challenges in recent years, with Fila USA revenue declining as the retro fashion trend cooled.

On March 31, 2025, shareholders approved the renaming of Fila Holdings Corp. to Misto Holdings Corp. The rebranding was intended to better reflect the company's identity as a global brand portfolio company, as the previous name was closely associated only with the Fila brand. CEO Geun-Chang (Kevin) Yoon stated that the name change would "open up new possibilities for growth" and allow the company to "explore opportunities for synergies among its subsidiaries and brands."

Misto Holdings Corp. Sustainability & Ethics

Misto Holdings was included in the FTSE4Good ESG Index for the first time in 2024, recognizing the company's environmental, social, and governance practices. The company has implemented sustainability initiatives across its brands:

  • Fila: Sustainable materials sourcing, ethical manufacturing practices, and programs to reduce environmental impact in production
  • Acushnet: Environmental initiatives across golf ball and club manufacturing, including waste reduction and energy efficiency programs at its Massachusetts and California facilities

The company has introduced four core values to guide its operations: synergetic, empowering, resilient, and responsible, with the slogan "Redefining Boundaries."

Controversy, Regulation & Public Scrutiny

Fila USA revenue decline and restructuring: Fila's US business has faced significant challenges, with revenue declining 12% in FY2024 as the retro fashion trend that drove growth in the late 2010s cooled. The company has been working through excess inventory and restructuring its US distribution, which has weighed on the overall Fila brand segment performance.

Fila brand vs. corporate identity confusion: The close association between the Fila brand name and the corporate entity (Fila Holdings Corp.) created what the company described as "limited perception" of its broader portfolio. This was a primary driver of the rebranding to Misto Holdings in 2025, as the corporate name was seen as limiting the company's ability to position itself as a multi-brand portfolio company.
