History of Fidelity National Financial, Inc.
William P. Foley II and Frank P. Willey incorporated Fidelity National Financial in 1984 to execute a leveraged buyout of Fidelity National Title Insurance Co., a modest Nebraska underwriter generating about $6 million in revenue. An employee stock program in 1985 made it the nation's first employee-owned title underwriter.
FNF went public on the American Stock Exchange in 1987, the same year it bought Western Title Insurance and moved headquarters from Arizona to California. Growth through the 1990s ran on acquisition and the residential refinance cycle.
The landmark deals came in 2000 and 2008. The 2000 acquisition of Chicago Title Corporation brought the Chicago Title, Commonwealth Land Title, and Ticor underwriters, instantly creating the largest title insurer in the country. The 2008 purchase of bankrupt LandAmerica Financial Group's underwriters added Lawyers Title and Commonwealth's sister operations at distressed prices, cementing a market share no rival has approached since.
Along the way FNF built and separated adjacent businesses: it formed and later spun off Fidelity National Information Services, now the payments giant FIS, and in 2020 acquired F&G Annuities & Life for approximately $2.7 billion, diversifying into life insurance. FNF distributed portions of F&G to shareholders in stages, retaining about 70 percent after the December 2025 distribution.
Foley remains chairman. Michael Nolan, a company veteran, has served as CEO since 2022.
Fidelity National Financial, Inc. Sustainability & Ethics
Fraud prevention is the most material stakeholder issue in title insurance, and FNF's inHere platform and automation investments are partly defensive infrastructure against wire fraud and impersonation schemes that cost buyers millions.
The company publishes ESG reporting covering data security, workforce, and community investment. No independent sustainability certification applies to title insurance operations.
Controversy, Regulation & Public Scrutiny
Title insurance economics: The industry faces recurring criticism that premiums exceed loss-driven cost, given low claims ratios relative to other insurance lines; regulators in several states periodically review title rate structures.
Cybersecurity incident: FNF disclosed a significant cyberattack in late 2023 that disrupted systems across its title operations, a high-profile event for the industry's operational resilience.
F&G complexity: Analysts note the life insurance subsidiary's alternative-asset and reinsurance exposure adds earnings opacity relative to the title core, part of the rationale behind staged ownership distributions.
