History of BorgWarner Inc.
BorgWarner traces its origin to a 1928 merger in Chicago that combined four auto parts companies: Borg & Beck, a clutch maker; Warner Gear, a transmission and gear producer; Marvel-Schebler, a carburetor manufacturer; and Mechanics Universal Joint. The combination created Borg-Warner Corporation, one of the largest component suppliers to the American auto industry of its era.
Through the middle of the twentieth century, Borg-Warner diversified far beyond auto parts into appliances, industrial equipment, chemicals, plastics, and financial services, operating as a classic conglomerate. In 1987 the company was taken private in a leveraged buyout led by Merrill Lynch Capital Partners. The reorganization that followed stripped away most non-automotive businesses, and the company returned to the public market in 1993 as a focused automotive supplier.
The modern company built its position in turbochargers through a series of acquisitions, including the purchase of a German turbocharger business in the late 1990s. Turbocharging demand grew steadily as automakers downsized engines to meet fuel economy and emissions rules, and BorgWarner became one of the two largest turbocharger suppliers in the world. Its DualTronic dual-clutch transmission technology, developed in partnership with Volkswagen, added a second major product franchise.
In October 2020, BorgWarner completed its approximately $3.3 billion acquisition of Delphi Technologies, adding power electronics, inverters, software, fuel injection systems, and a large aftermarket business. The deal was part of a deliberate pivot toward electrification that the company branded its Charging Forward strategy in 2021.
In July 2023, BorgWarner spun off its fuel systems and aftermarket operations as PHINIA, a separate publicly traded company, leaving BorgWarner concentrated on propulsion technology for combustion, hybrid, and electric vehicles. Joseph Fadool succeeded Frederic Lissalde as President and CEO in February 2025.
In 2025 and 2026, the company announced a strategic expansion beyond automotive: a supply award for a turbine generator system aimed at the AI data center power market, applying its turbo and thermal engineering to stationary power generation.
BorgWarner Inc. Sustainability & Ethics
BorgWarner publishes an annual sustainability report covering greenhouse gas emissions, energy use, safety metrics, and supply chain standards. The company has stated a goal of reaching carbon neutrality in its own operations by 2035, and it reports Scope 1 and Scope 2 progress to CDP.
Its largest environmental contribution is indirect: turbochargers improve combustion efficiency, and the eProducts portfolio supports vehicle electrification. The company is not a Certified B Corporation, and most of its sustainability disclosures are self-reported rather than third-party certified.
Controversy, Regulation & Public Scrutiny
Electrification impairments (2025): BorgWarner recorded $624 million in impairment charges in fiscal 2025 in its PowerDrive Systems and Battery & Charging Systems segments. The charges reflected reduced volume expectations for certain EV programs and pushed GAAP operating margin down to 3.7%, far below the 10.7% adjusted figure, drawing analyst attention to the gap.
Tariff and trade exposure: As a global supplier with plants in Mexico, China, and Europe feeding U.S. assembly plants, BorgWarner is directly exposed to U.S. tariffs on imported vehicles and parts enacted in 2025. The company has said it recovers most tariff costs through customer negotiations and regional production alignment, but the policy environment added cost and planning uncertainty.
