United Surgical Partners International was formed in 1998 in the Dallas area with backing from Welsh, Carson, Anderson & Stowe, a private equity firm specializing in healthcare. The founding idea was to consolidate the fragmented ambulatory surgery center industry, where thousands of physician-owned centers operated independently with no shared infrastructure or negotiating leverage with insurers.
Through the 2000s USPI grew by acquiring and developing surgery centers and short-stay surgical hospitals, building relationships with physicians who both worked in and co-owned the facilities. The partnership model became the company's signature: surgeons kept equity and governance rights in their centers while USPI handled contracting, compliance, billing, and operations. By 2015 it was the largest independent ASC operator in the country.
The June 2015 joint venture with Tenet was transformative for both sides. Tenet contributed its own surgery centers and cash for majority control, instantly more than doubling its outpatient footprint. Tenet then steadily bought out Welsh Carson, reaching 95% in 2018 and full ownership in 2021.
Under full Tenet ownership, USPI became the parent company's declared growth engine. Tenet commits at least $250 million annually to acquiring surgery centers, supplemented by de novo development. The strategy shifted toward higher-acuity procedures: total joint replacements, spine, and cardiology cases that increasingly migrate out of hospital settings. In third quarter 2026, USPI same-facility total joint replacement volume grew 12.8% year over year even as overall surgical cases declined. As of September 30, 2026, USPI held interests in 535 ambulatory surgery centers, 406 consolidated and 129 unconsolidated, plus 25 surgical hospitals in 37 states.
