Mark Leonard founded Constellation Software in Toronto in 1995. A former venture capitalist, Leonard built the company on a counterintuitive thesis: instead of chasing large software deals, buy small vertical market software businesses that dominate narrow niches, keep their managers in place, and hold them permanently. Vertical market software, built for a specific industry such as transit agencies, golf courses, or public housing, tends to have loyal customers and low churn.

The company listed on the Toronto Stock Exchange in 2006. For its first decade it was a quiet, small-cap acquirer completing dozens of small deals per year. Growth accelerated as the operating group structure took shape, letting each group pursue acquisitions independently while head office enforced disciplined hurdle rates.

By the mid-2010s Constellation had become one of the most acquisitive software companies in the world, routinely completing more than 100 acquisitions a year. The model produced compounding revenue growth driven mostly by acquisitions plus modest organic growth.

In February 2021 Constellation spun off its European-focused Topicus.com unit as a separately listed company while retaining control. In 2023 it repeated the pattern with Lumine Group, carved out of Volaris to focus on communications and media software. Both spin-offs remain consolidated subsidiaries.

A defining moment came on September 25, 2025, when founder Mark Leonard resigned as president for health reasons, ending a 30-year run. Chief operating officer Mark Miller succeeded him. Leonard remains on the board.

For fiscal 2025 the company reported revenue of $11.62 billion, up 15% year over year, with organic growth of 4%. Net income attributable to common shareholders was $512 million, down 30% from $731 million in 2024, a decline driven largely by non-cash items including a higher IRGA and TSS membership liability revaluation charge and increased intangible amortization. The quarterly dividend was held at $1.00 per share.
