American Airlines Group's history spans nearly a century, tracing its roots to 1926 when Charles Lindbergh flew the first air mail route for Robertson Aircraft Corporation. Multiple small air mail carriers were consolidated in 1929 and 1930 into The Aviation Corporation (AVCO), which formed American Airways in January 1930. In 1934, following a government-mandated reorganization, American Airways became American Airlines. C.R. Smith was elected president on May 13, 1934, and led the airline for more than 30 years.

Smith partnered with Douglas Aircraft Corporation to design and build the DC-3, which made passenger transport reliably profitable for airlines for the first time. Under Smith, American expanded its domestic network and introduced service innovations including the Admirals Club in 1939, the first U.S. airline lounge. In 1981, American launched AAdvantage, the first airline loyalty program in the world.

In 1982, AMR Corporation was formed as the parent company of American Airlines, creating the holding company structure. American grew through acquisitions, most notably the acquisition of Trans World Airlines (TWA) in December 2001 for approximately $500 million in a deal approved by bankruptcy court. The TWA acquisition added aircraft, routes, and the St. Louis hub.

In November 2011, AMR Corporation filed for Chapter 11 bankruptcy, citing high labor costs, fuel prices, and debt load. The bankruptcy resulted in the termination of employee pension plans, which were transferred to the Pension Benefit Guaranty Corporation (PBGC). This affected approximately 130,000 employees and retirees and was controversial. The bankruptcy allowed the company to restructure labor contracts, reduce debt, and pursue a merger.

On February 13, 2013, AMR Corporation and US Airways Group announced a definitive merger agreement valued at approximately $11 billion. The all-stock deal gave AMR creditors 72% of the combined carrier and five seats on the 12-member board. Doug Parker, CEO of US Airways, became CEO of the combined company. Thomas Horton, AMR's chairman and CEO, served as chairman through the first annual shareholder meeting. US Airways management assumed operational control of the airline.

The merger was completed on December 9, 2013, forming American Airlines Group Inc. The combined airline began trading on NASDAQ under ticker AAL. At formation, the company had nearly 6,700 daily flights to more than 330 destinations in more than 50 countries and over 100,000 employees. US Airways exited Star Alliance on March 30, 2014, and entered oneworld on March 31, 2014. The process to achieve a Single Operating Certificate took approximately 18 to 24 months.

Doug Parker served as CEO from 2013 until his retirement in March 2022. Robert Isom, previously president of American, succeeded Parker as CEO.
