History of Philips

Philips was founded in 1891 by Gerard Philips and his father Frederik Philips in Eindhoven, Netherlands. Frederik, a banker, financed the purchase of a factory building where the company began producing carbon-filament lamps in 1892. The first years were difficult, and the company nearly went bankrupt.

In 1895, Gerard's younger brother Anton Philips joined the company. Anton brought business expertise that helped the family business expand rapidly. He established sales offices across Europe and in the United States. The company was incorporated as Philips Gloeilampenfabrieken N.V. in 1912 and was listed on the Amsterdam Stock Exchange that same year.

In the 1920s, Philips diversified into vacuum tubes, X-ray tubes, and radio receivers. In 1924, Philips joined with Osram and other manufacturers to form the Phoebus cartel, which controlled the global light bulb market for decades. This arrangement was later dissolved.

Throughout the 20th century, Philips became a major consumer electronics company. The company introduced electric shavers in 1939, the compact cassette in 1962, and co-developed the compact disc with Sony in 1982. Philips also developed the V2000 videotape format and the LaserDisc. The company produced televisions, radios, audio equipment, and home appliances.

Philips expanded into medical technology in the 1970s and 1980s, developing MRI, CT, and ultrasound systems. The acquisition of Intermagnetics General in 2006 and the healthcare informatics division of Hewlett-Packard in 2001 strengthened Philips' medical imaging and patient monitoring businesses.

In 2013, under CEO Frans van Houten, Philips removed "Electronics" from its name, becoming Royal Philips N.V. The company spun off its lighting division as Signify N.V. (formerly Philips Lighting) through an IPO in 2016. In 2021, Philips sold its domestic appliances business to Hillhouse Capital for approximately EUR 3.7 billion. These divestitures completed Philips' transformation from a diversified electronics conglomerate to a focused health technology company.

In June 2021, Philips initiated a voluntary recall of approximately 5.5 million CPAP, BiPAP, and ventilator devices due to degradation of polyester-based polyurethane sound abatement foam. The recall became one of the largest medical device recalls in history. In January 2024, Philips agreed to a consent decree with the US Department of Justice and FDA, halting sales of new sleep apnea devices in the United States until compliance requirements are met. Philips recorded a provision of EUR 363 million in Q4 2023 for remediation activities and inventory write-downs.

In 2025, Philips returned to profitability, reporting net income of EUR 897 million compared to a loss of EUR 698 million in 2024. Adjusted EBITA margin improved to 12.3% from 11.5% in 2024. The company announced its 2026 outlook targeting EUR 1.3 to 1.5 billion in free cash flow.

The degraded foam could release particles and volatile organic compounds that users could inhale or ingest. The recall affected devices sold between 2009 and 2021.

The FDA classified the recall as Class I, the most serious type, indicating a reasonable probability of serious injury or death. The FDA received more than 100,000 medical device reports associated with the recalled devices between April 2021 and April 2024, including reports of deaths. Philips stated that its testing concluded the devices were "not expected to result in appreciable harm to health in patients," a claim the FDA did not fully endorse.

In January 2024, Philips agreed to a consent decree with the US Department of Justice, acting on behalf of the FDA. The consent decree prohibits Philips from selling new Respironics sleep apnea devices in the United States until the company demonstrates compliance with FDA manufacturing requirements. Philips must retain independent quality system experts, complete remediation of all recalled devices, and pay disgorgement of profits from sales of medically necessary devices. Philips recorded a EUR 363 million provision in Q4 2023 for remediation costs.

As of February 2026, more than 99% of actionable registered CPAP and BiPAP sleep therapy devices have been remediated globally. Remediation of ventilator devices remains ongoing. The consent decree is expected to take several years to fully resolve, meaning Philips cannot sell new sleep apnea devices in the US market until compliance is achieved.

Philips also faced an EU antitrust fine in 2012 for participating in a cathode-ray tube price-fixing cartel. The European Commission fined Philips EUR 313 million for its role in the cartel, which lasted from 1996 to 2006. Philips appealed the fine but lost in 2015.

In 2013, Philips cancelled the sale of its audio and video operations to Funai Electric, leading to legal disputes. Funai sued Philips for breach of contract. The parties reached a settlement in 2014.

In 2023, Philips announced the elimination of 10,000 jobs over two years as part of a restructuring program following the Respironics recall and financial losses. The workforce reduction was completed in 2025.
