Sears launched the Discover Card in 1986 through its Dean Witter financial services arm, breaking card-industry conventions with no annual fee and the first cash-back bonus. The card's rollout at Super Bowl-era scale made it a phenomenon, and Sears built the Greenwood Trust/Discover Bank infrastructure in Riverwoods, Illinois.
Sears spun off Dean Witter Discover in 1993; it merged with Morgan Stanley in 1997, and the card business endured as an oddity inside an investment bank until Morgan Stanley spun off Discover Financial Services in 2007 as a standalone NYSE company (DFS).
As an independent, Discover grew a top-tier card franchise (it! card, student cards, secured cards), built the Discover Global Network through Diners Club international acceptance, and operated PULSE, one of the largest U.S. debit networks. It also pushed into direct banking: Discover Bank deposits, personal and student loans, and home equity.
Regulatory troubles preceded the sale: a 2023 card-misclassification issue (charging some merchants wrong interchange), Fed consent orders, and student-loan servicing findings. In February 2024 Capital One announced the $35.3 billion acquisition, approved by regulators in April 2025 and closed May 18, 2025. DFS stock was delisted and Discover became a Capital One subsidiary.
As of September 2026, integration is 16 months in: Capital One reports integration costs of roughly $300 million per quarter, the DCENT note defeasance completed in December 2025, and network migration planning underway, with Discover remaining the consumer-facing brand on its cards and network.

Yes. Capital One completed its ~$35 billion all-stock acquisition of Discover on May 18, 2025, gaining the Discover network, Diners Club, and PULSE.
What is Capital One buying besides Discover?
Capital One acquired spend-management fintech Brex for $5.15 billion on April 7, 2026, and has purchased firms like Confirmed and Velocity Black in recent years for travel and concierge services.
Discover entered the Capital One deal carrying regulatory baggage: the Federal Reserve's consent orders on card-interchange misclassification (overcharging some merchants for years) and student-loan servicing deficiencies, plus remediation obligations that transferred to Capital One.
The merger itself was contested: consumer groups and some lawmakers argued consolidation would reduce competition and raise fees, producing extended review and community commitments before April 2025 approval. The OCC's approvals came with conditions on AML remediation Discover had already begun.
Historically, Discover also paid a $200 million CFPB refund order in 2012 for deceptive telemarketing of add-on products, an early precedent in card marketing enforcement.
