History of Celsius

  • Founded: 2004
  • Founders: Steve Haley

The Celsius beverage concept was created in 2003 by Greg Horn, who developed the idea of a fitness-focused energy drink. The concept was licensed to Elite FX Inc., a company founded in 2004 and later renamed Celsius Holdings, Inc. The company launched its first Celsius energy drink in Sweden in 2009, entering the European market before expanding to the United States.

Throughout the 2010s, Celsius expanded its distribution and product line. The brand positioned itself as a healthier alternative to traditional energy drinks, with zero sugar and ingredients claimed to support metabolism. The company went public through a SPAC merger in 2022, trading on NASDAQ under CELH.

In August 2022, PepsiCo invested $550 million in Celsius Holdings through Series A Convertible Preferred Stock and became the company's exclusive U.S. distributor. This partnership gave Celsius access to PepsiCo's extensive distribution network, accelerating the brand's retail expansion.

Celsius Holdings significantly expanded its portfolio in 2025 through two major acquisitions:

On February 20, 2025, Celsius Holdings announced the acquisition of Alani Nutrition LLC ("Alani Nu") for $1.8 billion, including $150 million in tax assets, for a net purchase price of $1.65 billion. The acquisition closed on April 1, 2025. Alani Nu was co-founded by Katy Schneider and Haydn Schneider, along with Congo Brands co-founders Max Clemons and Trey Steiger. Alani Nu generated $595 million in revenue in 2024 and targets female consumers focused on fitness and lifestyle.

On August 28, 2025, Celsius Holdings acquired the Rockstar Energy brand in the U.S. and Canada from PepsiCo for $585 million. PepsiCo retains ownership of the Rockstar brand internationally. As part of the transaction, PepsiCo invested $585 million in Series B Convertible Preferred Stock and Alani Nu moved into the PepsiCo distribution system. Celsius Holdings became PepsiCo's "energy category captain" in the U.S., managing the Celsius, Alani Nu, and Rockstar Energy brands.

For full-year 2025, Celsius Holdings reported revenue of $2,515.3 million, an 85.5% increase from $1,355.6 million in 2024. The Celsius brand contributed $1,457.7 million in revenue (up 7.5%), Alani Nu contributed $1,001.9 million, and Rockstar Energy contributed $55.6 million. In Q1 2026, revenue reached $782.6 million, a 138% year-over-year increase.

Celsius Sustainability & Ethics

Celsius Holdings published its inaugural ESG report in 2021. The company's sustainability initiatives cover environmental impact, responsible marketing, and supply chain practices.

Environmental Initiatives: Celsius Holdings has committed to reducing distribution emissions. The company works with co-packers to implement energy-efficient production processes. Since the Alani Nu and Rockstar Energy acquisitions in 2025, the company has been integrating these brands into its sustainability framework.

Sustainable Packaging: Celsius works with co-packers to reduce packaging waste and increase use of recyclable materials. The company has implemented lightweighting initiatives for its beverage containers.

Responsible Marketing: Celsius has faced regulatory scrutiny over health claims about metabolism acceleration and fat burning. The company has modified some marketing language in response to lawsuits and regulatory pressure. The brand's marketing now focuses more on fitness positioning rather than specific metabolic claims.

Supply Chain Ethics: Celsius Holdings works with third-party manufacturers and requires compliance with its supplier standards. The company conducts audits of its co-packing partners to maintain quality and ethical standards.

Celsius Recalls & Controversies

Marketing Claims Lawsuits: Celsius Holdings has faced class action lawsuits alleging that its products were misbranded. Plaintiffs claimed that Celsius misled consumers by labeling products with claims suggesting they could "accelerate metabolism," "burn body fat," reduce hunger, and promote weight loss without FDA authorization for such health claims. Celsius has modified some marketing language in response to these lawsuits.

Product Recall (2025): In July 2025, Celsius issued a recall for certain product packs that were inadvertently contaminated with vodka seltzer during manufacturing. The recalled products were shipped to retailers in Florida, New York, Ohio, South Carolina, Virginia, and Wisconsin. Celsius coordinated with FDA authorities on the recall process.

Investor Lawsuits (2024-2025): Celsius faced multiple lawsuits from investors alleging that the company misled investors by overstating sales tied to PepsiCo's distribution partnership and inflating stock prices. The lawsuits claimed that Celsius concealed inventory overstock issues and provided overly optimistic sales forecasts. These lawsuits are ongoing as of August 2026.

Flo Rida Endorsement Lawsuit: Rapper Flo Rida won an $82 million judgment against Celsius Holdings in 2023 over endorsement payment disputes. The lawsuit alleged that Celsius failed to honor the terms of an endorsement agreement signed in 2014. The judgment was reduced on appeal but the case highlighted contract management risks in celebrity endorsement deals.

Regulatory Scrutiny: As a functional beverage company making health claims, Celsius operates under FDA regulatory oversight regarding product labeling, health claims, and ingredient safety. The company must navigate FDA requirements for dietary supplements and functional beverages while maintaining its marketing effectiveness.
